Sunrakshakk Industries: FMCG Transformation and Expansion Strategy Driving Ambitious Growth Vision

By Neha Gupta, Research Analyst

New Delhi | Sunrakshakk Industries India Limited entered a transformational phase in FY 2024–25, marking its evolution from a textile-focused enterprise into a diversified FMCG player. The company reported its highest-ever consolidated revenue of ₹180.2 crore, supported by strategic acquisitions, business diversification, and aggressive expansion plans.

A major milestone during the year was the acquisition of Sunrakshak Agro Products Private Limited (SAPPL), enabling the company’s entry into high-growth FMCG categories. Reflecting this strategic shift, the company also rebranded itself from A.K. Spintex Limited to Sunrakshakk Industries India Limited, signalling a broader long-term vision beyond textiles.

Management has outlined an ambitious roadmap to achieve ₹1,000 crore revenue by FY2028, positioning the company among emerging growth stories in India’s consumer products sector.

Fundamentals: From Textile Manufacturer to FMCG Growth Platform

Sunrakshakk Industries is transitioning from a traditional textile processing company into a diversified business spanning:

  • FMCG products
  • FMCG intermediates
  • Edible products
  • Textile processing operations

Management believes India’s consumption story, rising rural demand, and organised retail expansion create a significant opportunity to build a scalable consumer-focused business.

The company’s transformation strategy revolves around:

  • Expanding manufacturing capacity
  • Entering higher-growth FMCG categories
  • Building a pan-India distribution footprint
  • Leveraging acquisitions for faster scale-up

Operational discipline remained healthy, with miscellaneous expenses accounting for only ~0.14% of consolidated revenue, indicating controlled overhead costs despite expansion efforts.

Industry Tailwinds: India’s Consumption Story Creating Opportunities

Sunrakshakk Industries is positioning itself to benefit from several structural growth drivers:

1. FMCG Sector Expansion

India’s FMCG sector has grown into an industry exceeding ₹18 lakh crore, supported by rising disposable income, urbanisation, and premiumisation trends.

Management highlighted that the FMCG industry is expected to grow at approximately 15% CAGR, creating a large addressable market for new entrants.

2. Rural Consumption Recovery

Improving rural demand and stable urban consumption are supporting volume growth across consumer categories.

3. Digital Commerce Growth

Online FMCG sales have expanded rapidly, creating opportunities for direct-to-consumer (D2C) brands and digitally enabled distribution models.

4. Sustainability and Packaging Innovation

Consumers are increasingly favouring sustainable products and eco-friendly packaging solutions, influencing future product development strategies.

Even the textile segment continues to offer long-term opportunities, with India’s textile market projected to reach US$350 billion by 2030.

Growth Strategy: Capacity Expansion and New Manufacturing Facilities

Sunrakshakk Industries has laid out an aggressive expansion roadmap for FY26 and beyond.

1. Guwahati Manufacturing Facility

The company is establishing a new facility in Assam with planned production capacities of:

  • Soap Noodles: 2,160 MT per month
  • Cosmetics: 1,000 MT per month

Commercial operations are expected to begin in January 2026, creating a significant revenue growth avenue.

2. Bhilwara Edibles Facility

A new manufacturing facility focused on:

  • Savouries
  • Spices
  • Edible products

is expected to commence revenue generation from September 2025.

3. Strong Capital Raising Support

To fund these growth initiatives, the company successfully raised approximately ₹98.25 crore through preferential allotment in May 2025.

The successful fundraise strengthens the balance sheet and provides resources for executing expansion plans.

Execution Check: Walking the Talk

Management appears to be executing its transformation strategy effectively:

  • Successfully completed the acquisition of SAPPL
  • Raised nearly ₹100 crore for future growth
  • Rebranded the company to reflect diversification strategy
  • Announced clear manufacturing capacity targets and commercialization timelines

Unlike many companies that announce expansion plans without visible progress, Sunrakshakk has already begun implementing key strategic initiatives.

However, the real execution test will emerge over the next two years as newly established facilities begin commercial production and management attempts to scale FMCG operations in a highly competitive market.

Governance & Management Overview

The company maintains a structured governance framework with executive and independent directors overseeing operations.

Statutory auditors issued a clean unqualified opinion, confirming:

✅ No qualifications
✅ No adverse observations
✅ No reservations on financial statements

Management remuneration also remained moderate.

Managing Director Prakash Chand Chhabra received remuneration of approximately ₹60.9 lakh, representing only 0.34% of consolidated revenue.

Interestingly, remuneration increased by roughly 9.7% year-on-year, despite standalone PAT declining by around 33%, indicating compensation is not directly linked to annual profitability performance.

Governance Monitorables & Risks

While governance appears generally acceptable, investors should monitor several important areas:

1. Large Related Party Transaction (RPT) Limits

The company has sought approval for related-party transaction limits that are significantly larger than current revenue levels.

Examples include:

  • Up to ₹270 crore annually with RCM Consumer Products
  • Up to ₹250 crore with ACME Industries

Given FY25 consolidated revenue of approximately ₹180 crore, these proposed limits warrant close investor monitoring.

2. Independent Director Attendance

Some independent directors recorded relatively low attendance at board meetings, which may raise governance concerns regarding oversight effectiveness.

3. CSR Compliance Shortfall

The company disclosed a CSR spending shortfall of approximately ₹13.97 lakh during FY25 due to technical reasons.

4. Accounting Observation

Management does not conduct actuarial valuation for gratuity and leave encashment obligations, instead recognising costs when incurred. While disclosed, this differs from common practice and should remain a monitorable accounting policy.

Risks to Monitor

Investors should closely track:

  • Execution risk in FMCG diversification
  • Competitive intensity in consumer products
  • Large proposed related-party transactions
  • Commercialisation of new manufacturing facilities
  • Integration of acquired businesses

The company also reported contingent liabilities relating to:

  • Textile cess demand (~₹46 lakh)
  • GST dispute (~₹20 lakh)

Management is contesting these matters through the appellate process.

Conclusion

Sunrakshakk Industries Limited is undergoing one of the most significant transformations in its corporate history, shifting from a textile processing company toward a diversified FMCG-focused business model.

The successful capital raise, acquisition-led expansion strategy, and upcoming manufacturing facilities provide meaningful growth potential over the next several years.

However, investors should continue monitoring execution of FMCG expansion, governance around related-party transactions, and commercialisation of new facilities, as these factors will determine whether management can successfully achieve its ambitious ₹1,000 crore revenue target by FY2028.

Overall, Sunrakshakk represents a high-growth, high-execution-risk transformation story, where future success will depend largely on management’s ability to convert expansion plans into sustainable consumer-facing businesses.
