During FY 2024\u201325, the company not only changed its name from IKIO Lighting Limited<\/strong> to IKIO Technologies Limited<\/strong>, but also repositioned itself as a diversified Electronics Manufacturing Services (EMS)<\/strong> player with ambitions beyond lighting products.<\/p>\n

Management described FY25 as a pivotal investment year<\/strong>, marked by expansion into high-growth electronics categories, large-scale capacity additions, and a stronger global footprint. While these investments temporarily impacted profitability, they have laid the foundation for the company’s next phase of long-term growth.<\/p>\n

From Lighting Company to Technology Manufacturer<\/strong><\/span><\/h2>\n

For several years, IKIO built its reputation as a leading manufacturer of LED lighting solutions. However, management believes the future lies in becoming a diversified technology manufacturing company.<\/p>\n

    The Government’s Production Linked Incentive (PLI)<\/strong> scheme for White Goods is encouraging domestic electronics manufacturing and capacity expansion.<\/p>\n

      One of the biggest milestones during FY25 was the successful commercialisation of Block I<\/strong> of IKIO’s new greenfield manufacturing facility in Noida.<\/p>\n

      Spread across nearly 2 lakh square feet<\/strong>, the facility became operational in May 2024<\/strong> and significantly enhanced production capacity.<\/p>\n

      Management is now moving ahead with Block II<\/strong>, another 2 lakh square feet<\/strong>, which is expected to further strengthen manufacturing capabilities.<\/p>\n

      The expansion is largely funded through IPO proceeds.<\/p>\n

      As of March 31, 2025:<\/p>\n

      • Around \u20b9904 million<\/strong> of IPO funds remain available for deployment.<\/li>\n
      • Approximately \u20b9700 million<\/strong> will be invested during FY26.<\/li>\n
      • The remaining balance is expected to be utilised by FY27.<\/li>\n<\/ul>\n

        These investments are expected to support future revenue growth as utilisation levels improve.<\/p>\n

        Perhaps the most important strategic development during FY25 was IKIO’s successful entry into new product categories.<\/p>\n

                        Managing Director Hardeep Singh<\/strong> received remuneration of approximately \u20b91.37 crore<\/strong> during FY25.<\/p>\n

                        Total director remuneration stood at approximately \u20b93.10 crore<\/strong>, representing only 0.64% of consolidated revenue<\/strong>.<\/p>\n

                        An interesting observation is that directors do not receive performance-linked incentives or variable remuneration<\/strong>.<\/p>\n

                        In fact, director remuneration declined year-on-year alongside lower profitability, indicating a conservative compensation philosophy.<\/p>\n

                        \n

                        Auditor Observations<\/strong><\/span><\/h2>\n

                        Statutory auditors issued a clean unqualified opinion<\/strong>, confirming that the financial statements present a true and fair view of the company’s financial position.<\/p>\n

                        However, auditors highlighted one technical observation.<\/p>\n

                        The audit trail (edit log)<\/strong> feature was not enabled at the database level for certain accounting modules covering payroll and general ledger across the holding company and three subsidiaries.<\/p>\n

                        Importantly:<\/p>\n

                          \n
                        • No financial manipulation was identified.<\/li>\n
                        • No instances of tampering were reported.<\/li>\n<\/ul>\n

                          This remains a technical compliance matter rather than a financial governance concern.<\/p>\n

                          Related Party Transactions & Risks<\/strong><\/span><\/h2>\n

                          Related-party transactions were conducted on an arm’s-length basis.<\/p>\n

                          Major transactions involved subsidiaries such as:<\/p>\n

                            Related-party purchases accounted for approximately 22.4% of total purchases<\/strong>, while related-party sales represented only 2.7% of total sales<\/strong>.<\/p>\n

                            The company also reported contingent liabilities relating primarily to:<\/p>\n

                                With a net debt-free balance sheet<\/strong>, strong governance practices, and exposure to structural themes such as China+1<\/strong>, PLI incentives<\/strong>, and electronics manufacturing, IKIO Technologies appears well positioned to participate in India’s next manufacturing growth cycle.<\/p>\n

                                However, investors should continue monitoring capacity utilisation, execution of upcoming expansion projects, auditor observations on IT controls, and leadership continuity as the company enters its next phase of growth.<\/p>\n
